He just sounds friendly. Then again, you think he likes you so you must have some basis for that conclusion. If he's known for his friendly-ness or his charming personality, then I'd say he's just being nice. But if you are singled out in any particular way like you're the only girl in your grade that he talks to, then he probably likes you in some way (thiniks your cute or fun to be around or romantically)
It depends on how he asks you out. If he's just asking you to grab a coffee later then I'd just say "Sorry I don't think I can" or "maybe we should invite other people"
If it's more serious or it gets more serious, then you'll have to be honest with him and tell him you aren't interested in him. Say he's a really nice guy and you really like hanging out, but you're not interested in him.
